1. Agreement to Terms

By accessing or using Linkly ("Service"), you agree to these Terms of Service ("Terms").

If you use the Service on behalf of an organization, you represent you have authority to bind that organization.

If you do not agree, do not use the Service.

Our Privacy Policy describes how Linkly collects, uses, and shares personal information. It is incorporated into these Terms by reference.


2. Description of Service

Linkly provides software for:

  • Branded short links
  • Campaign link management
  • Custom domains
  • Redirect routing
  • Link analytics and reporting
  • Team and client workspaces

The Service relies on third-party infrastructure. Categories of providers and how we use them are described in the Privacy Policy, and those providers may change as our infrastructure evolves.


3. Accounts

You must:

  • Provide accurate account information
  • Keep credentials secure
  • Be at least 18 years old
  • Be responsible for activity under your account

You are responsible for users you invite into your workspace.


4. Subscriptions and Billing

Paid plans are billed in advance.

Fees are non refundable except where required by law.

We may change pricing with reasonable notice.

Failure to pay may result in suspension or downgrade.


5. Your Content and Data

You retain ownership of:

  • Links you create
  • Campaign data you configure
  • Custom domains you connect
  • Workspace data you upload

You grant us a limited license to host, process, and operate the Service.

You are responsible for ensuring your use of the Service—including links you publish, destinations you send users to, and analytics you rely on—complies with applicable laws and regulations.


6. Acceptable Use Policy

You may not use Linkly to:

Illegal or Harmful Activity

  • Violate law or regulation
  • Infringe rights of others
  • Distribute malware
  • Support phishing or fraud
  • Redirect users to harmful or deceptive destinations

Malicious Redirects Prohibited

You may not use Linkly for:

  • Phishing pages
  • Malware distribution
  • Impersonation
  • Deceptive redirects
  • Scam offers
  • Traffic laundering

We may disable links immediately if abuse is suspected.

Email Tracking Abuse Prohibited

You may not use Linkly to:

  • Conduct unauthorized surveillance
  • Track users through deceptive email methods
  • Use links to secretly collect personal information
  • Circumvent privacy protections

Affiliate Cloaking Restrictions

You may not use Linkly to:

  • Conceal unlawful affiliate activity
  • Mask deceptive promotions
  • Hide prohibited traffic sources
  • Evade affiliate network rules

Users remain responsible for compliance with affiliate program terms.

No Personal Data Through Links

You may not intentionally use Linkly links to transmit sensitive personal data through URLs, including:

  • Social security numbers
  • Payment card numbers
  • Passwords
  • Health data
  • Government ID numbers

URLs should not be used to carry regulated or sensitive personal information.

No Spam

You may not use Linkly for:

  • Unsolicited bulk messaging
  • Spam campaigns
  • Link flooding
  • Abuse of email or messaging systems

7. Click Data and Analytics Disclosure

Linkly provides analytics based on link activity.

You acknowledge:

  • Analytics may be approximate
  • Geolocation may be estimated
  • Referrer data may be incomplete
  • Browser privacy settings may affect tracking
  • Third party platforms may limit attribution

Analytics are provided as informational tools, not guaranteed records.

Your responsibilities toward link visitors

People who open links you create are generally not Linkly’s direct customers. You are responsible for your own compliance with laws that apply to you and your use of tracked links—such as privacy, direct marketing, electronic communications, or sector-specific rules, where applicable. That includes providing any notices, choices, or consents required for your use of the Service toward link visitors.

Linkly’s Privacy Policy describes our practices as the platform provider. It does not replace your obligations to end users, clients, or regulators for how you deploy links and campaigns.


8. Domains

You are responsible for domains you connect.

You represent you have rights to use any connected domain.

We may suspend domains or routing that:

  • Create security risks
  • Cause abuse complaints
  • Violate these Terms

9. Intellectual Property

Linkly retains ownership of:

  • Software
  • Platform code
  • Product design
  • Trademarks
  • Documentation

These Terms do not transfer ownership to you.


10. Service Availability

We strive for reliable service, but do not guarantee uninterrupted availability.

We may suspend service for:

  • Maintenance
  • Security issues
  • Abuse prevention
  • Infrastructure failures

11. Termination

We may suspend or terminate accounts that:

  • Violate these Terms
  • Use the platform abusively
  • Create legal or security risk
  • Use Linkly for prohibited tracking or redirects

We may disable offending links immediately.


12. Disclaimer

THE SERVICE IS PROVIDED "AS IS."

WE MAKE NO WARRANTY REGARDING:

  • Uptime
  • Accuracy of analytics
  • Continuous availability
  • Fitness for a particular purpose

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LINKLY WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:

  • Fees paid in the prior 12 months

or

  • $100 USD

14. Indemnification

You agree to indemnify and hold Linkly harmless from claims arising from:

  • Your use of the Service
  • Your links or domains
  • Your redirects
  • Your violations of law
  • Your misuse of tracking functionality
  • Claims by third parties (including link visitors, customers, or regulators) related to your privacy, marketing, communications, or data practices in connection with links or campaigns you run through the Service

15. Governing Law

These Terms are governed by Delaware law.

Disputes shall be resolved through binding arbitration, except where applicable law provides otherwise.


16. Changes to Terms

We may update these Terms from time to time.

Material changes will be communicated by notice through the Service or email.

Continued use constitutes acceptance.


17. Link Abuse Reporting

If you believe a Linkly-hosted link is being used for phishing, malware, spam, or other abuse, please report it promptly.

Include the full short URL, the destination URL if known, and a brief description of the issue. We review reports and may suspend links or accounts when appropriate.
